Software License Agreement

This Software License Agreement ("License") governs one-time purchases of AdSights downloadable framework products (the "Licensed Software") sold at www.adsights.ai, including:

• Ads Framework and Email Framework (full tiers)
• Ads Skills Only and Email Skills Only bundles

This License supplements the Terms of Service. If there is a conflict about license rights to Licensed Software, this License controls; the Return & Refund Policy controls refunds and revocations.

Licensed Software does not include the AdSights SaaS creative analytics platform (cloud subscriptions governed solely by the Terms and any Order Form).

Upon payment and while your license remains active (not revoked, refunded, or terminated), AdSights grants the purchasing organization a non-exclusive, non-transferable, non-sublicensable license to:

• Install and use the Licensed Software within one organization (the purchasing entity and its employees and contractors acting on its behalf)
• Use Licensed Software for internal business purposes to produce advertising and marketing outputs
• Receive updates through the delivery method for your SKU (private npm registry access and/or re-download of updated zip files from your Account portal)

You may not:

• Resell, redistribute, publish, or sublicense the Licensed Software (including the engine, skills bundles, or starter templates as a standalone product)
• Rebadge, white-label, or offer the Licensed Software to third parties as your own product
• Use the Licensed Software to build or distribute a competing framework or substantially similar distributable engine
• Share npm registry credentials, GitHub team access, or license keys outside your organization
• Remove or obscure proprietary notices embedded in the Licensed Software

Your outputs. Creative assets, copy, and rendered media you produce using the Licensed Software are yours, subject to third-party rights in your inputs and the Terms (including platform and integration rules).

Full framework SKUs may be delivered via private npm registry access and/or a self-contained zip. Skills-only SKUs are delivered via zip. Each path grants the same license scope. Revoking registry access after a refund does not delete copies already on your systems — you must cease use and delete local copies as stated in /returns.

Licensed Software may include third-party open-source fonts, libraries, or assets under separate notices (for example, bundled ASSETS-LICENSE files and package LICENSE files). Those notices apply in addition to this License.

This License ends when:

• You materially breach this License or the Terms and we revoke access
• A refund or chargeback is processed and we revoke the license per /returns
• You stop using the Licensed Software and delete your copies (you may retain backups only as legally required)

Provisions that by their nature should survive (restrictions on retained copies, disclaimers, limitation of liability incorporated by reference from the Terms) survive termination.

Licensed Software is provided "AS IS" and "AS AVAILABLE" as described in Terms §12. AdSights does not warrant that Licensed Software will meet your requirements or that outputs will achieve particular business results.
